Registration of change the legal representative of a joint stock company is a change of the leader, executive director, head of the company holding important positions such as Director / General Manager / Chairman of the Board, etc.
1.The procedure for registration of change of representatives at law:
- Receive information/requests of clients on the contents of registration of changes;
- Immediately after receiving the request of clients, Minh Khue Law Firm will send basic information on: Service Price List; consultation process; Draft contract for clients and send via Email;
- Clients provide information according to information request form (MKLAW FIRM form);
- Minh Khue Law Firm will send a letter of advice directly via email about the legal information provided by the client;
- After agreeing the basic content of the establishment of the company. We will schedule meetings with consultants directly at the office or at your request.
- To prepare the dossier set up according to customers requirements;
- The employees of Minh Khue Law Firm shall carry out the procedures as prescribed in the signed two-party contract;
2. Method of providing consultancy services:
After completing the dossier, we will register the change of business license at the Department of Planning and Investment of the province / city where the enterprise is located.
3. Composition and number of dossiers:
a) Composition of the dossier, including:
1. Announcing the change of the representative at law.
2. A written decision and a copy of the minutes of the General Meeting of Shareholders (in case the change of the legal representative changes the contents of the company's charter); or the Board of Directors (in case the change of the legal representative does not change the contents of the company's charter);
3. A copy of the identity card or passport or other legal personal identification papers of the legal representative as stipulated in Article 43 Decree 78/2015/NĐ-CP.
4. A valid copy of the practicing certificate of the director (in case the legal representative is the director of the company conducting lines of business requiring specialized practice certificates by the specialized law).
b) Number of dossiers: 01 (sets)
4. Receive and hand over results:
Employees of the Minh Khue Law Firm shall receive dossier processing results, the receiving person shall show the original of the identity card or passport (valid for comparison). If it is not the enterprise's legal representative to receive results, there must be a letter of authority or written authorization in accordance with the provisions of the Law to the person who receives the result.
