Whereas, the Company and the Employee entered into an definite-term labour contract. Now, the Company and the Employee would like to mutually terminate the Labour Contract in accordance with Article 34 of the Labour Code 2019. Therefore, the Company and the Employee agree on the followings:

1. The Labour Contract shall be terminated on ……/……./……. by mutual agreement between the Company and the Employee “Termination Date”.

2. The Employee shall receive full payment of amounts which are listed below until the end of the Termination Date. The Employee understands and acknowledges that such payments which are made to the Employee in any nature, form and called in any name by the Company shall include all payments required by the law of Vietnam for the complete termination of the Labour Contract No. ……include:

  1. Salary in accordance with the Labour Contract for the duration from the first date of month that this Termination Agreement is entered into to the Termination Date: ………………. dong;
  2. Salary equivalent to a number of days ……… of the unused annual leave of the year 2021: …….. dong;
  3. ……….. month(s) contractual salary ………………….. dong as stipulated in the Labour Contract as the severance allowance pursuant to the labour law of Vietnam for the period of time when the Employee has worked for the Company for that the Employee’s unemployment insurance was not contributed: …………………………………… dong; and
  4. ……..months of contractual salary as stipulated in the Labour Contract as the financial support given to the Employee to seek a new job: ……………… dong.

The Employee agrees that, except for the Payable Amount as indicated in this Termination Agreement, the Employee

shall not request the Company to pay any further amount (including but not limited to severance allowance, if required by law, unused annual leave (if any) and shall not further claim from the Company any and all financial issues in connection with the employment relationship between the Company and the Employee under the Labour Contract or in connection with this Termination Agreement.

The Payable Amount shall be made in cash directly to the Employee or made directly to the Employees bank account in one (01) instalment within seven (07) working days after both parties sign this Termination Agreement. The Employee has to return all documents, correspondence and all other properties belonging to the Company which are under the Employees custody on the Termination Date, including but not limited to the followings:

  • Entrance certificate, keys, taxi cards, mobile phone, SIM card, laptop, iPad; and
  • A memo of detailed information of the Company’s clients and partners who the Employee has contacted and worked with during [his/her] working time for the Company under the Labour Contract (including but not limited to clients who signed contracts with the Company, potential clients who have officially contacted with the Company, contractors and subcontractors, etc.).

In the case of payment in cash, the Employee is required to sign the acknowledgment letter for full receipt of the Payable Amount.

3. After the Termination Date, the Employee agrees that the Company has finished all of its obligations and duties to the Employee under the Labour Contract and the law of Vietnam. The Employee, at any time before or after the Termination Date,

- Agrees to release, discharge and waive any and all claims the Employee has or may have, whether known or unknown, contingent or absolute, under any and all law, against the Company in relation, directly or indirectly, to the Employees employment with the Company, the Labour Contract or this Termination Agreement;

- Undertakes not to commence or attempt to bring any action, claim or proceeding against the Company in relation, directly or indirectly, to the Employees employment with the Company, the Labour Contract or this Termination Agreement; and

- Agrees not to challenge before a court of law, an arbitral tribunal or any other similar body, the admissibility, validity, enforceability or effectiveness of this Termination Agreement.

4. The Employee undertakes to keep confidential the existence and terms of this Termination Agreement and the circumstances and causes leading up to the termination of the Labour Contract and shall not disclose them to any third party, unless the Employee has the prior duly written consent of the Company; or is doing so in confidentiality to relevant tax authorities of Vietnam or otherwise required by law of Vietnam provided that the Company is notified in a reasonable time before such disclosure.

5. During the duration of working for the Company and after signing this Termination Agreement, the Employee shall hold in confidence and not directly or indirectly reveal report, publish, disclose or transfer any proprietary information of the Company to any person or entity, or utilize any proprietary information of the Company for any purpose. In addition, the Employee shall not remove, reproduce, summarize or copy any proprietary information of the Company except with prior written consent of the Company. The Employee specifically undertakes that the Employee will not indulge in any activity or dealing which as a consequence will tarnish or defame the reputation of the Company, its associates, and affiliate group of companies, shareholders, directors, representatives or other employees.

For the avoidance of doubt and without prejudice to this Article, the following is a non-exhaustive list of objects which the Employee must keep confidential:

  1. Any or all of trade secrets of the Company;
  2. Any or all of information which the Company must keep confidential to any third party;
  3. Any or all of accounting books of the Company;
  4. Any or all lists and details of clients (inclusive of potential clients) of the Company and contracts signed between the Company and its clients;
  5. Any or all lists of suppliers of the Company and rates and charges of the Company; and
  6. Any or all information made available to the Employee which is identified to the Employee as being of a confidential nature.

6. The Company agrees to: (i) fully complete its obligations as an employer regarding the contribution of statutory social insurance, unemployment insurance and health insurance for the Employee until the Termination Date in accordance with the law; and (ii) deliver the Employees social insurance book to the Employees residential address as registered with the Company after the date when the Company receives the social insurance book from the social insurance agency.

7. This Termination Agreement sets out the entire agreement and understanding between the parties concerning the termination of the Labour Contract and supersedes and annuls all preliminary agreements or communications in respect of the subject matter hereof that may exist between the parties. Any issues which are not mentioned herein will be implemented in accordance with the relevant law and regulations of Vietnam. 

8. Any provision or undertaking in this Termination Agreement which is or may become illegal, void, prohibited or unenforceable in any respect under any law of Vietnam shall be ineffective to the extent of such illegality, invalidity, prohibition or unenforceability without invalidating the remaining provisions hereof, and any such illegality, invalidity, prohibition or unenforceability shall not invalidate or render illegal, invalid or unenforceable any other provision or undertaking contained herein.

9. If the Employee violates any of the Employees obligations under this Termination Agreement, the Company reserves the right to seek all legal actions and/or remedies as allowed by the law of Vietnam against the Employee and demand the Employee to return any compensation, if applicable, payable by the Company under this Termination Agreement and compensate for any tangible or intangible losses borne by the Company arising from such a breach.

10. This Termination Agreement is made in 02 (two) original copies with the same validity. Each party shall keep 01 (one) original copy.

11. This Agreement is governed and construed by the law of Vietnam.

12. This Termination Agreement shall take effect at ….. AM, on ……………..

- Người lao động được bổ nhiệm làm người quản lý doanh nghiệp của công ty trách nhiệm hữu hạn một thành viên do Nhà nước nắm giữ 100% vốn điều lệ;
- Người lao động được ủy quyền để thực hiện quyền, trách nhiệm của đại diện chủ sở hữu nhà nước đối với phần vốn nhà nước tại doanh nghiệp;
- Người lao động được ủy quyền để thực hiện quyền, trách nhiệm của doanh nghiệp đối với phần vốn của doanh nghiệp đầu tư tại doanh nghiệp khác;
- Trường hợp khác do hai bên thỏa thuận.
